01What you do

You promote Gemmein honestly, using the referral code or link we give you. You’re an independent business, not our employee, agent or representative, and you can’t make commitments for us.

02Disclosure and honest claims

Whenever you promote Gemmein, you must clearly say that you may earn commission (for example "#ad" or "affiliate link"), as the UK CAP Code and US FTC rules require. Only make claims about Gemmein that are true and that you can back up. Don’t describe yourself as part of Gemmein or as an official Gemmein partner, reseller or representative.

03Not allowed

spam or unsolicited messages; cookie-stuffing or forced clicks; bidding on "Gemmein" or misspellings in search ads; referring yourself, your own businesses or accounts you control; offering cash or rewards to people to sign up; or promoting Gemmein next to illegal or harmful content. If you break these rules, we can withhold unpaid commission connected with the breach and end these terms.

04Commission

As set out on the affiliates page: 30% of plan payments actually made by each founder you refer, for 12 months from their first paid invoice, while they stay a paying customer. It’s calculated after discounts and excludes storage packs, taxes, refunds, chargebacks, credits and custom contracts. It’s held 45 days, then paid monthly once at least $50 is owed. A referral counts if the founder uses your code or link, or if we attribute them to you before their first paid invoice. Our records decide attribution, and you can ask us to review them.

05Tax

You’re responsible for your own taxes. Before your first payout we may ask for tax details (for example a US W-9 or W-8). If you’re VAT-registered, tell us, and we’ll agree whether you invoice us or we self-bill you.

06Our brand

We give you a limited, revocable permission to use the Gemmein name and the logos we provide, only to promote Gemmein and following any brand guidance we give. It ends when these terms end.

07Data

We don’t share referred founders’ personal data with you, beyond what’s needed to confirm a referral. If you collect personal data while promoting us, you’re responsible for handling it lawfully.

08Changes and ending

We may change these terms or the commission for new referrals with 30 days’ notice. Referrals already made keep the terms they were made under. Either of us can end these terms at any time by email. Commission already earned on payments made before the end is still paid, unless it relates to a breach of section 3.

09Liability

Apart from paying commission you’ve earned, our total liability to you under these terms is limited to the commission paid or owed to you in the 12 months before a claim. Nothing limits liability that can’t legally be limited.

10Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
